Terms and Conditions

Welcome to Technovix Inc. (“Technovix,” “we,” “our,” or “us”). These Terms and Conditions govern your access to and use of our website, the Technovix Core cloud platform, Technovix Edge hardware, and all associated software, AI features (including the Virtual Engineer), and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Gateway-as-a-Service (GaaS) and Hardware

For clients utilizing our Gateway-as-a-Service (GaaS) model, Technovix provides industrial-grade edge computing hardware.

• Ownership: Unless a distinct purchase agreement is executed, all provided Edge hardware remains the exclusive property of Technovix Inc.
• Maintenance and Access: You agree to provide our technicians with reasonable physical and network access to the hardware for maintenance, updates, and optimization.
• Restrictions: You shall not reverse-engineer, dismantle, or attempt to extract proprietary threshold logic or software from the edge gateways.

2. Software and AI License

Technovix grants you a limited, non-exclusive, non-transferable license to access the Technovix Core platform and utilize our predictive analytics features.

• Virtual Engineer (TechnoPI): The AI-driven diagnostic features and 5-Point Predictive Alerts are designed to augment facility maintenance and operational planning. They are advisory tools. You retain sole responsibility for all operational execution, safety protocols, and physical equipment interventions based on these insights.
• Service Availability: While Technovix Edge devices are equipped with localized data buffering to survive network outages, cloud-based analytics (Technovix Core) require active internet connectivity. We do not guarantee uninterrupted cloud access.

3. Data Ownership and Telemetry

• Client Data: You retain full ownership of all raw machine telemetry, environmental data, and operational parameters generated by your facility.
• Aggregated Analytics: You grant Technovix a perpetual, royalty-free license to use anonymized, aggregated telemetry and usage data to train, refine, and improve our machine learning models and AI diagnostic engines. This data will never contain identifiable corporate, personal, or proprietary operational information.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Technovix Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, product spoilage, manufacturing downtime, data loss, or mechanical failure, resulting from your use of or inability to use the Services. Our predictive models and anomaly detection algorithms do not constitute a guarantee against physical asset degradation or failure.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ontario, Canada.
